Elaine Villanueva Martinez (EVM) is shareholder of CALO and head of the Corporate, Mortgage and Real Estate Department of the firm. She joined CALO in May 2004. EVM has focused her main practice on mortgage and notarial law matters, such as residential and commercial developments, segregations, horizontal property regimes, leasehold negotiations, real estate, commercial lending, secured transactions, workouts and restructuring and general corporate law. She has also been involved in abundant transactions representing local financial institutions with multiple array of financing dealings and agricultural loans.


Practice Areas and Experience:

EVM’s diverse practice also involves a wide variety of matters ranging from business formation, business planning, business acquisition/disposition and reorganization, secured and unsecured financing transactions.

EVM has excelled in providing clients with a prompt, personal, and cost-effective legal services to handle all types of real estate transactions and disputes. She works with residential home buyers and sellers, as well as commercial real estate clients, including commercial builders, contractors and subcontractors, housing developers, real estate brokers, and landlords.

Elaine Villanueva Martinez also assists clients in the pre-development and development stages of construction projects providing advice and counsel necessary to keep such projects moving forward.

She has represented investors and investment funds in the performance of due diligence and the drafting, negotiation and execution of transaction documents related to the acquisition of loan portfolios and the related financing agreements, giving advice regarding liens on real estate, including guidance on settlement transactions, foreclosure proceedings, and eventual sale of real estate assets.

Elaine Villanueva Martinez has also been responsible for the drafting and preparation of multiple legal documentation such as operating agreements, confidentiality agreements, indemnity agreements, settlement agreements, commercial lease agreements, distribution agreements, purchase agreements, letters of intent, option agreements, shareholder agreements, stock purchase agreements, due diligence memos, and numerous types of deeds involving real estate transactions and notary law.

EVM has also participated in, multiple commercial and corporate financing transactions, representing lenders, responsible for drafting and preparing loan agreements, promissory notes, security agreements, pledge agreements, guaranty agreements, and mortgages, loan work outs, forbearance agreements, foreclosures and judicial sales.

She has a vast knowledge and experience in counseling creditors and clients about property titles, deeds, property taxes, title insurance policies, and other collateral issues of transactions and also dealing with Property Registry matters and other collateral issues of real estate and corporate transactions.
